Welcome to Gearzio.com AI ("Company," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your subscription, access to, and use of the Gearzio AI website, intake widget, client dashboard, and automated lead capture services (collectively, the "Services").

By creating an account, subscribing to a paid plan, embedding our intake widget, or accessing the Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.

1. Account Registration & Agreement

To access the Services, you must register a business account. By registering, you agree that:

• You are at least 18 years of age and authorized to bind your business or entity to these Terms.
• You will provide accurate, current, and complete business information (including legal business name, address, phone number, and billing details).
• You are responsible for maintaining the confidentiality of your account password and API/client keys.

2. Scope of Service & Disclaimer

Gearzio.com AI provides an automated 24/7 AI receptionist and lead intake system designed to assist trade and service businesses in qualifying incoming inquiries, confirming dispatch fees, collecting booking scheduling, and recovering missed calls.

• Intake Assistant Role: Gearzio.com AI operates solely as an automated intake coordinator. We do not perform trade physical work, issue binding total repair quotes, or guarantee contract fulfillment.
• Client Responsibility: Subscribers retain sole responsibility for reviewing captured leads, confirming dispatch schedules, dispatching technicians, and executing service work for end customers.

3. Subscriptions, Fees & Billing

• Billing Tiers: Services are billed on a recurring monthly or annual subscription model based on your selected plan (Starter or Pro).
• Automatic Renewal: Subscriptions automatically renew at the beginning of each billing cycle unless canceled prior to the renewal date via your client dashboard or by contacting support.
• Payment Failures & Grace Period: If a recurring payment fails or a credit card expires, your account enters a 7-day past-due grace period. Daily automated email reminders will be sent to the owner on file.
• Automatic Suspension: Accounts remaining unpaid after the 7-day grace period will be automatically suspended. Suspended accounts will have AI intake widget services disabled until all outstanding fees are settled.

4. Acceptable Use & Content Restrictions

You agree to use Gearzio.com AI in compliance with all applicable local, provincial/state, and federal laws. You strictly agree NOT to:

• Impersonate platform administration or use restricted terms (e.g., "Gearzio", "Admin", "Billing", "Official") in your dispatcher or business title settings.
• Input or configure offensive, obscene, defamatory, profane, or abusive content in public-facing widget settings.
• Use the SMS recovery or widget system to transmit unsolicited bulk promotional messages (spam) or conduct deceptive business practices.
• Attempt to reverse engineer, decompile, or compromise the platform architecture or AI engine.

5. Intellectual Property

All software, proprietary algorithms, website designs, logos, widget code, and documentation associated with Gearzio.com AI remain the exclusive intellectual property of Gearzio.com AI. Subscribers are granted a limited, non-exclusive, non-transferable license to embed the widget script on their authorized domain for the duration of an active subscription.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Gearzio.com AI and its officers, directors, and employees shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, profits, business, or data resulting from:

• Use or inability to access the Services.
• Downtime, server maintenance, or internet connectivity disruptions.
• Inaccurate information provided by end-user web visitors during AI chat sessions.

7. Account Cancellation & Termination

You may cancel your subscription at any time through your client dashboard or by contacting support. Gearzio.com AI reserves the right to suspend or terminate accounts immediately without prior notice for violations of these Terms, abusive language, fraud, or non-payment beyond the grace period.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Gearzio.com AI operates, without regard to its conflict of law principles.
